Subscription Agreement

Welcome to Nebulx—your exclusive AI text-to-image tool for bringing space sci-fi anime visions to life, where creativity meets complete privacy. This Subscription Agreement governs your purchase and use of the paid subscription plans for Nebulx , which unlock premium features to enhance your space sci-fi anime creation experience. By purchasing, subscribing to, or using any Nebulx Subscription, you acknowledge that you have read, understood, and agree to be bound by all the terms and conditions of this Agreement, as well as our User Agreement and Privacy Policy (both incorporated herein by reference). If you do not agree to any part of this Agreement, our User Agreement, or our Privacy Policy, you must not purchase or use any Nebulx Subscription.

Nebulx offers three paid Subscription plans—Monthly Subscription, Six Month Subscription, and Yearly Subscription—designed to provide flexible access to premium features that elevate your cosmic creative journey. Importantly, Nebulx does NOT offer any lifetime subscription plans, and no lifetime access options are available or referenced in this Agreement. This Agreement is crafted specifically for Nebulx’s Subscriptions, aligned with our core commitments to privacy (zero personal data collection, anonymous usage where possible), and written in clear, straightforward language to help you understand your rights and responsibilities as a subscriber, the details of each Subscription plan, billing terms, cancellation policies, and more.

1. Overview of Nebulx Subscription Plans

Nebulx offers three distinct paid Subscription plans, all designed to unlock premium features that complement the App’s free core functionality (which remains accessible without a Subscription). Each plan provides access to the same set of premium features but differs in subscription duration and pricing (pricing is displayed at the time of purchase and is subject to change with prior notice). Importantly, no lifetime subscription plans are offered, and all Subscriptions are for fixed durations as outlined below. Upon expiration of your Subscription, you will revert to the free version of Nebulx unless you renew your Subscription.

1.1 Monthly Subscription
The Monthly Subscription is a recurring subscription plan that provides you with access to Nebulx’s premium features for a period of one (1) calendar month from the date of purchase/activation. This plan renews automatically on a monthly basis (on the same calendar day as your initial purchase, or the last day of the month if your initial purchase date does not exist in a subsequent month) unless you cancel the Subscription prior to the renewal date. You will be charged the applicable monthly subscription fee on each renewal date, using the payment method you provided at the time of initial purchase (or any updated payment method you later provide).

1.2 Six Month Subscription
The Six Month Subscription is a recurring subscription plan that provides you with access to Nebulx’s premium features for a period of six (6) consecutive calendar months from the date of purchase/activation. This plan renews automatically every six (6) months unless you cancel the Subscription prior to the renewal date. You will be charged the applicable six-month subscription fee on each renewal date, using the payment method you provided at the time of initial purchase (or any updated payment method you later provide).

1.3 Yearly Subscription
The Yearly Subscription is a recurring subscription plan that provides you with access to Nebulx’s premium features for a period of twelve (12) consecutive calendar months from the date of purchase/activation. This plan renews automatically every twelve (12) months unless you cancel the Subscription prior to the renewal date. You will be charged the applicable yearly subscription fee on each renewal date, using the payment method you provided at the time of initial purchase (or any updated payment method you later provide).

1.4 Premium Features Included in All Subscriptions
All Nebulx Subscription plans (Monthly, Six Month, Yearly) include access to the same set of premium features, which may include (but are not limited to):

• Unlimited high-quality space sci-fi anime image generation (no daily/weekly limits);
• Priority customer support (response within 2 business days) for any subscription-related or App functionality questions;
• Ad-free experience while using the App;

We reserve the right to add, modify, or remove premium features at any time, with reasonable notice to subscribers (via in-App notification or email, if you provide an email address voluntarily). Any changes to premium features will not reduce the overall value of your Subscription during the active period of your plan.

2. Eligibility for Subscriptions

To purchase or use a Nebulx Subscription, you must meet the eligibility requirements outlined in our User Agreement, which include (but are not limited to):

• You must be 18 years of age or older; minors (individuals under 18 years of age) may only use a Subscription under the explicit supervision and guidance of their parent or legal guardian, who shall be fully responsible for all subscription-related activities (including purchases, payments, and cancellation) and shall agree to this Agreement on behalf of the minor;
• You must have a valid payment method accepted by Nebulx (e.g., credit card, debit card, digital wallet) to complete the subscription purchase;
• You must comply with all terms of this Agreement, our User Agreement, and our Privacy Policy;
• You must not have had a previous Nebulx Subscription terminated for violation of our terms or policies.

By purchasing a Subscription, you represent and warrant that you meet all eligibility requirements and that the payment method you provide is valid, current, and owned by you (or that you have permission to use it). We reserve the right to refuse or terminate a Subscription if we reasonably believe you do not meet the eligibility requirements, in accordance with our User Agreement and this Agreement.

3. Subscription Purchase and Billing

3.1 Initial Purchase
When you purchase a Nebulx Subscription, you agree to pay the applicable subscription fee (displayed at the time of purchase) for the plan you select (Monthly, Six Month, or Yearly). The subscription fee is non-refundable except as explicitly provided in this Agreement. We may offer promotional pricing, discounts, or free trials from time to time; any such offers are subject to additional terms and conditions, which will be displayed at the time of the offer.

To complete your purchase, you will be required to provide a valid payment method. By providing your payment method, you authorize us (or our third-party payment processor) to charge the applicable subscription fee to your payment method on the date of purchase and on each renewal date (as outlined in Section 1).

3.2 Automatic Renewal
All Nebulx Subscriptions are recurring and will automatically renew at the end of their respective subscription periods (monthly for Monthly Subscription, every six months for Six Month Subscription, and yearly for Yearly Subscription) unless you cancel your Subscription prior to the renewal date. You will be charged the applicable subscription fee (which may be subject to change with prior notice) on each renewal date, using the payment method you provided at the time of initial purchase (or any updated payment method you later provide).

We will make reasonable efforts to notify you of an upcoming renewal and any changes to the subscription fee at least 7 days prior to the renewal date. Notifications may be sent via in-App notification or email (if you provide an email address voluntarily). Failure to receive a renewal notification does not relieve you of your obligation to pay the renewal fee, and your Subscription will still renew automatically unless you cancel it.

3.3 Payment Method Updates
You are responsible for keeping your payment method information current and accurate. If your payment method expires, is canceled, or is no longer valid, we may attempt to charge an alternative payment method you have provided (if any) or notify you to update your payment information. If we are unable to process a payment for your Subscription (e.g., due to insufficient funds, expired card, or declined payment), your Subscription may be suspended or terminated until payment is successfully processed. You will not have access to premium features during any period of suspension due to non-payment.

3.4 Pricing Changes
We reserve the right to change the subscription fees for any of our Subscription plans at any time. Any pricing changes will apply only to future subscription periods and will not affect your current active Subscription period. We will provide you with at least 30 days’ notice of any pricing changes via in-App notification or email (if you provide an email address voluntarily). If you do not agree to the new pricing, you may cancel your Subscription prior to the effective date of the price change to avoid being charged the new fee.

4. Subscription Cancellation and Refunds

4.1 Cancellation by You
You may cancel your Nebulx Subscription at any time, for any reason, by following the cancellation instructions provided within the App (typically found in the “Subscription” or “Settings” section). Cancellation takes effect immediately, but you will retain access to premium features until the end of your current active subscription period. No prorated refunds will be provided for partial subscription periods, and you will not be charged for any future renewal periods after cancellation.

To avoid being charged for a renewal, you must cancel your Subscription prior to the renewal date. If you cancel after the renewal date, you will be charged the renewal fee and will retain access to premium features for the entire renewed subscription period.

4.2 Cancellation by Us
We reserve the right to cancel or suspend your Subscription at any time, with or without prior notice, if:

• You violate any term of this Agreement, our User Agreement, or our Privacy Policy (including but not limited to the prohibitions on inappropriate content, intellectual property infringement, or unauthorized use);
• Your payment method is declined or we are unable to process a payment for your Subscription (and you fail to update your payment information within a reasonable period);
• You do not meet the eligibility requirements for a Subscription;
• We discontinue the Subscription plans or the App entirely;
• We reasonably believe your use of the Subscription or the App poses a risk to other users, the App, or our interests.

If we cancel your Subscription due to your violation of our terms or policies, no refunds will be provided. If we cancel your Subscription for any other reason (e.g., discontinuing the App, technical issues), we may provide a prorated refund for the unused portion of your current active subscription period, at our sole discretion.

4.3 Refund Policy
Subscription fees are non-refundable except as explicitly provided in this Agreement. We do not offer refunds for partial subscription periods, accidental purchases (unless the purchase was made without your permission and you notify us promptly), or dissatisfaction with the App or premium features (unless the App or features are non-functional and we are unable to resolve the issue within a reasonable period).

To request a refund (if eligible), you must contact us at the email address provided in Section 10 within 14 days of the date of purchase or the date of the issue (e.g., non-functional features, unauthorized purchase). You must provide sufficient details to verify your request (e.g., purchase date, payment method last four digits, description of the issue), and we will review your request and respond within 5 business days. Refunds, if approved, will be processed to the original payment method used for the purchase and may take 3-7 business days to appear in your account, depending on your payment provider.

5. Subscription Access and Usage

Upon successful purchase of a Subscription, you will gain immediate access to the premium features included in your selected plan for the duration of your active subscription period. Your Subscription is for your personal, non-commercial use only, as outlined in our User Agreement. You may not share, lend, transfer, or sublicense your Subscription or access to premium features to any third party (including but not limited to friends, family, or other users). This includes sharing your device with others to access the premium features, unless such use is by a minor under your supervision (as permitted by Section 2).

We reserve the right to limit the number of devices on which you can access your Subscription at any time. Typically, a Subscription may be accessed on up to 2 personal devices (e.g., one phone and one tablet) linked to your device account, but we may change this limit with prior notice. If we detect unauthorized sharing or use of your Subscription (e.g., access from multiple devices not owned by you), we may suspend or terminate your Subscription without refund.

Your access to premium features will end immediately upon the expiration or termination of your Subscription. You will not be able to access any premium features (e.g., unlimited image generation, high-resolution downloads) after your Subscription ends, but you will still have access to the free version of the App and any content you generated during your Subscription (which remains stored locally on your device, in accordance with our Privacy Policy).

6. Privacy Protection for Subscribers

Your privacy remains our top priority, even as a subscriber. All privacy commitments outlined in our Privacy Policy apply to subscribers, including (but not limited to):

• We collect no personal information from you, including but not limited to your name, email address, phone number, device ID, IP address, or any other information that could identify you—unless you voluntarily provide an email address for subscription notifications (e.g., renewal reminders, refund updates), in which case we will use your email address solely for those purposes and will never share it with third parties;
• All of your creative content (text prompts, generated space sci-fi anime images, settings) is processed locally on your device—never uploaded to our servers, never shared with third parties, and never stored by us beyond what is necessary to generate your content;
• We do not use any tracking technologies (such as cookies, beacons, or analytics tools) to gather information about you or your usage of the App or Subscription;
• We never share, sell, rent, or disclose any information about you or Your Content to any third parties—including our third-party payment processor, who is only authorized to process your payment and is bound by strict privacy obligations to protect your payment information;
• Any temporary data generated during the creation process (e.g., unprocessed prompts, intermediate image files) is encrypted locally on your device and automatically deleted once you generate an image or close the App;
• Your anonymity is guaranteed—we have no way to link your creative activities or Subscription usage to your personal identity, and we never attempt to do so.

If you voluntarily provide an email address for subscription notifications, you may unsubscribe from non-essential notifications at any time by clicking the “unsubscribe” link in the email or by contacting us. We will never use your email address for marketing purposes without your explicit consent.

7. App Updates and Premium Feature Changes

As a subscriber, you agree to receive automatic updates to the App (if your device settings allow) or to download and install updates manually when prompted. These updates may include bug fixes, performance improvements, new premium features, modifications to existing premium features, or security enhancements—all designed to improve your Subscription experience.

We reserve the right to add, modify, or remove premium features at any time, with reasonable notice to subscribers (via in-App notification or email, if you provide an email address voluntarily). Any changes to premium features will not reduce the overall value of your Subscription during the active period of your plan. If we make significant changes to premium features that materially reduce the value of your Subscription (in our sole discretion), we may offer you the option to cancel your Subscription and receive a prorated refund for the unused portion of your current period.

We may also temporarily suspend the App or premium features for maintenance, updates, or other reasons (e.g., critical technical issues). We will make reasonable efforts to notify you of any planned suspensions (via in-App notification or email, if applicable), but we reserve the right to suspend the App or features without prior notice in case of emergency. We shall not be liable to you for any downtime, outages, or interruptions in the App’s functionality or premium features, and we will restore access as soon as reasonably possible.

8. Intellectual Property Rights

All intellectual property rights in and to Nebulx, its premium features, and all related content (including but not limited to the App’s code, software, AI algorithms, design, logo, trademarks, service marks, graphics, text, exclusive sci-fi color system, built-in style options, and all other original content created by us) are owned exclusively by us or our licensors. This Agreement does not grant you any ownership rights in Nebulx, its premium features, or any of our intellectual property; all rights not explicitly granted to you herein are reserved by us.

As a subscriber, you retain full, exclusive ownership of all your creative content generated using the App (including premium features), as outlined in our User Agreement and Privacy Policy. We do not claim any ownership rights in Your Content, and we will never use, copy, share, sell, or exploit Your Content for any purpose—including marketing, advertising, algorithm training, or product development—without your explicit written permission.

You agree not to copy, modify, distribute, reverse engineer, decompile, disassemble, or attempt to extract the source code of the App or its premium features. You also agree not to create any derivative works based on the App or its features or to use our trademarks, logos, or any other branding elements without our prior written permission.

9. Third-Party Services

Nebulx uses a trusted third-party payment processor to handle all subscription payments. This payment processor is authorized solely to process your payment information (e.g., credit card details) and is bound by strict privacy and security obligations to protect your payment information. We do not store your payment information on our servers; all payment data is handled exclusively by our third-party payment processor.

Other third-party services involved in the App’s operation are outlined in our User Agreement (e.g., trusted AI model providers, device operating system providers). These third parties are bound by strict privacy obligations and are prohibited from collecting, storing, or using any of your personal information or creative content.

We do not integrate Nebulx with any other third-party services (e.g., social media platforms, advertising networks, analytics tools) that could compromise your privacy. You acknowledge that third-party services (including our payment processor) have their own privacy policies and terms of service, and we shall not be liable for any actions or omissions of third parties.

10. Changes to This Agreement

We may update or modify this Agreement from time to time to reflect changes in our Subscription plans, premium features, billing practices, technology, user needs, or applicable rules. We will not make changes that reduce your rights or increase your obligations without providing you with reasonable notice of the changes (at least 30 days for significant changes). When we make changes, we will update the “Last Updated” date at the top of this Agreement and notify you through the App (via a pop-up notification) or email (if you provide an email address voluntarily).

By continuing to use your Subscription after the updated Agreement takes effect, you agree to be bound by the revised terms. If you do not agree to the changes, you may cancel your Subscription prior to the effective date of the changes to avoid being bound by the revised terms. We encourage you to review this Agreement periodically to stay informed of any updates.

When you contact us, we will never collect or retain any personal information beyond what is strictly necessary to resolve your inquiry. Any information you provide in your email (such as your name, email address, or payment method last four digits, if you choose to include them) will be used solely to address your question or concern, and it will be deleted immediately after your issue is resolved. We do not store any contact information from user inquiries, and we do not use this information for any other purpose—consistent with our commitment to protecting your privacy.

12. General Provisions

This Agreement, together with our User Agreement and Privacy Policy, constitutes the entire understanding and agreement between you and us regarding your purchase and use of the Nebulx Subscription, and supersedes any prior or contemporaneous agreements, understandings, or representations (whether oral or written) between you and us.

We reserve the right to modify or discontinue any Subscription plan or the App entirely at any time, with prior notice to subscribers (when feasible). If we discontinue a Subscription plan or the App, this Agreement will terminate automatically, and we may provide a prorated refund for the unused portion of your current active subscription period (at our sole discretion).

Nebulx and its Subscription plans are provided “as is” and “as available,” without any warranties of any kind (express or implied). We do not warrant that the App or premium features will be error-free, uninterrupted, or free of viruses or other harmful components. Your use of the App and Subscription is at your own risk.

This Agreement is written in English, and the English version shall be the governing version for all purposes. If this Agreement is translated into any other language, the English version shall prevail in the event of any conflict or discrepancy between the translated version and the English version.

Nothing in this Agreement shall create a partnership, joint venture, agency, or employer-employee relationship between you and us. You are an independent subscriber to Nebulx, and you are not an agent or representative of us.
